1. Agreement
This End User License Agreement (“EULA”) is a legal agreement between you (“User” or “you”) and ListingOS Inc. (“ListingOS,” “we,” or “our”) for the use of the ListingOS mobile application (“App”) available on Apple’s App Store.
By downloading, installing, or using the App, you agree to be bound by this EULA. If you do not agree, do not download or use the App.
2. License Grant
Subject to your compliance with this EULA, ListingOS grants you a limited, non-exclusive, non-transferable, revocable license to:
- Download and install the App on Apple devices that you own or control
- Use the App for your personal and professional real estate business purposes
This license does not allow you to:
- Distribute, sublicense, lease, rent, or lend the App to third parties
- Reverse engineer, decompile, disassemble, or attempt to derive the source code of the App
- Modify, adapt, translate, or create derivative works based on the App
- Remove, alter, or obscure any proprietary notices in the App
- Use the App in any manner that could damage, disable, or impair ListingOS’s servers or networks
3. Apple App Store Terms
This EULA is between you and ListingOS only, not Apple Inc. (“Apple”). Apple is not responsible for the App or its content. You acknowledge that:
- Apple has no obligation to furnish maintenance or support services for the App
- Apple is not responsible for any product warranties, whether express or implied
- Apple is not responsible for addressing any claims relating to the App or your use of it
- In the event of any third-party claim that the App infringes intellectual property rights, ListingOS (not Apple) is responsible for investigation and defense
- Apple and its subsidiaries are third-party beneficiaries of this EULA with the right to enforce it
4. Subscription and In-App Purchases
4.1 Subscription Plans
The App offers the following subscription tiers:
- Starter — $49/month or $490/year
- Pro — $99/month or $990/year
- Team — $199/month or $1,990/year
- Brokerage — $399/month or $3,990/year
Enterprise pricing is available by contacting our sales team.
4.2 Auto-Renewal
Subscriptions automatically renew unless cancelled at least 24 hours before the end of the current billing period. Your Apple ID account will be charged for renewal within 24 hours prior to the end of the current period at the same rate.
4.3 Managing Subscriptions
You can manage and cancel subscriptions through your Apple ID Account Settings on your device. Any unused portion of a free trial period will be forfeited upon purchase of a subscription.
4.4 Professional License
The App also offers a one-time Professional License purchase that grants permanent access to core features. This is a non-consumable in-app purchase processed through the App Store.
5. User Data and Privacy
Your use of the App is also governed by our Privacy Policy, which describes how we collect, use, and protect your data. Key points:
- Listing data, lead information, and deal records are stored on our servers to provide the Service
- Photos and property data may be processed by AI services to generate content
- You retain ownership of all data you upload to the App
- You can request deletion of your data at any time
6. AI-Generated Content
The App uses artificial intelligence to generate listing descriptions, marketing content, and other materials. You acknowledge that:
- AI-generated content may contain errors, inaccuracies, or omissions
- You are responsible for reviewing and editing all AI-generated content before publishing or distributing it
- ListingOS does not guarantee compliance of AI-generated content with local MLS rules, fair housing laws, or advertising regulations
- You are solely liable for any content you publish, whether AI-generated or manually created
7. Intellectual Property
The App and all related intellectual property (including but not limited to code, design, trademarks, logos, and documentation) are owned by ListingOS Inc. This EULA does not grant you any rights to ListingOS’s intellectual property except the limited license in Section 2.
8. Disclaimer of Warranties
THE APP IS PROVIDED “AS IS” WITHOUT WARRANTY OF ANY KIND. LISTINGOS DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, AND NON-INFRINGEMENT.
LISTINGOS DOES NOT WARRANT THAT THE APP WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.
9. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, LISTINGOS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF THE APP, INCLUDING BUT NOT LIMITED TO:
- Loss of data, revenue, or business opportunities
- Errors in AI-generated content that result in financial loss
- Interruption of service or loss of access
- Actions taken based on information provided by the App
IN NO EVENT SHALL LISTINGOS’S TOTAL LIABILITY EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID FOR THE APP IN THE PRECEDING 12 MONTHS OR (B) ONE HUNDRED DOLLARS ($100).
10. Compliance with Laws
You agree to use the App in compliance with all applicable federal, state, and local laws, including but not limited to:
- Fair Housing Act and state fair housing laws
- Real estate licensing and disclosure requirements
- MLS rules and regulations
- CAN-SPAM Act and other marketing regulations
- Data protection and privacy laws
11. Termination
This EULA is effective until terminated. Your rights under this EULA will terminate automatically if you fail to comply with any of its terms. Upon termination:
- You must cease all use of the App
- You must delete all copies of the App from your devices
- ListingOS may delete your data after a 30-day grace period
You may terminate this EULA at any time by deleting the App and closing your account.
12. Export Compliance
You agree not to export or re-export the App in violation of any applicable export control laws or regulations, including United States export restrictions.
13. Governing Law
This EULA is governed by the laws of the State of California, United States, without regard to conflict of law provisions. Any dispute arising from this EULA shall be resolved through binding arbitration in California.
14. Severability
If any provision of this EULA is found to be unenforceable, the remaining provisions will continue in full force and effect.
15. Entire Agreement
This EULA, together with our Terms of Service and Privacy Policy, constitutes the entire agreement between you and ListingOS regarding the App and supersedes all prior agreements.
16. Changes to This EULA
We may update this EULA from time to time. Material changes will be communicated through the App or by email. Continued use of the App after changes take effect constitutes acceptance.
